End-User License Agreement (EULA) for Twisted Cannabis FLX Effective Date: 06/21/2024 This End-User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Twisted Cannabis FLX ("Twisted Cannabis FLX," "we," or "us") governing your use of the mobile application provided by Twisted Cannabis FLX (the "App"). By downloading, installing, or using the App, you agree to be bound by the terms of this EULA. 1. License Grant Subject to your compliance with the terms of this EULA, Twisted Cannabis FLX grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on your mobile device solely for your personal, non-commercial use. 2. Restrictions a. Prohibited Uses: You may not: • Use the App for any illegal or unauthorized purpose; • Modify, adapt, translate, reverse engineer, decompile, or disassemble the App; • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from the App; • Attempt to gain unauthorized access to any portion of the App or any related systems or networks. b. Compliance: You agree to comply with all applicable laws and regulations regarding your use of the App. 3. Ownership The App and all rights, title, and interest in and to the App are and will remain the exclusive property of Twisted Cannabis FLX and its licensors. This EULA does not convey to you any rights of ownership in or related to the App, except for the limited license granted herein. 4. Updates Twisted Cannabis FLX may from time to time provide updates or upgrades to the App. Such updates or upgrades may be necessary for the continued use of the App and may be subject to additional terms. You agree to install any updates promptly. 5. Privacy Twisted Cannabis FLX may collect and use technical data and related information, including but not limited to technical information about your device, system, and application software, to facilitate the provision of updates, support, and other services related to the App. Please refer to our Privacy Policy for more information on how we collect, use, and disclose information from our users. 6. Termination This EULA is effective until terminated by you or Twisted Cannabis FLX. Your rights under this EULA will terminate automatically without notice from Twisted Cannabis FLX if you fail to comply with any term(s) of this EULA. Upon termination of this EULA, you shall cease all use of the App and delete all copies of the App from your mobile device. 7. Disclaimer of Warranty THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TWISTED CANNABIS FLX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. 8. Limitation of Liability IN NO EVENT SHALL TWISTED CANNABIS FLX BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER OR NOT TWISTED CANNABIS FLX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 9. Governing Law This EULA shall be governed by and construed in accordance with the laws of New York State, without regard to its conflict of law principles. 10. Changes to this EULA Twisted Cannabis FLX reserves the right to modify this EULA at any time. Updated versions of this EULA will be posted on Twisted Cannabis FLX's website or made available through the App. Your continued use of the App after any such changes constitutes your acceptance of the revised EULA. 11.
